About these Terms
The Agreement: These Terms of Use (Terms) govern your access to, and use of the website, software application, and services known as "Audri" (the Platform), developed and operated by Audri Pty Ltd (ABN 22 697 810 496) (Audri, we, us, our).
The Services: We provide a digital intake tool that collects information about you and your health, symptoms and medical history through an interview process (the Intake Interview). This information is shared with your nominated healthcare practitioner (Practitioner).
Acceptance: By accessing the link provided to you (for example via SMS or email), or participating in an Intake Interview (for example via chat, voice, or phone), you acknowledge that you have read and understood and agree to be bound by these Terms. If you do not agree to any of these Terms, you must not use the Platform in any manner.
Ongoing Agreement: These Terms apply each time you use the Platform, unless they are updated or replaced in accordance with clause 5.
Variations: We may update these Terms from time to time. If a change is material, we will use reasonable efforts to notify you before it takes effect, including by providing notice through the Platform or by email. Changes required for legal, regulatory, or safety reasons may take effect immediately. By continuing to use the Platform after updated Terms take effect, you agree to the revised Terms.
Eligibility and security
Capacity: You confirm you possess the legal right and ability to enter into a legally binding agreement with us.
Minors and Dependents: If you are using the Platform on behalf of another person (such as a child or dependent), you warrant that you are their parent, legal guardian, or authorised carer and you have authority to provide information on their behalf.
Access Security: You are responsible for keeping any access links or credentials provided to you secure and confidential.
Unauthorised Access: You must notify Audri as soon as reasonably possible of any actual or suspected unauthorised use of an account, link or any other security breach.
Important warnings: emergencies & medical advice
Not For Emergencies: Audri is not an emergency service. The Platform is an administrative tool and is not suitable for emergency medical circumstances. If you need urgent assistance, contact emergency services or your local hospital emergency department immediately.
No Medical Advice: Audri is an information collection tool. Audri does not provide medical advice, diagnoses or treatment. Information collected or displayed on the Platform must not be relied on as medical advice, and you should never disregard professional medical advice because of information provided by the Platform.
TGA regulatory notice (non-medical device)
Non-Medical Device Status: Audri does not meet the definition of a medical device under the regulations of the Therapeutic Goods Administration (TGA). Audri is not intended to investigate, diagnose, monitor, alleviate, or treat any disease, injury, or physiological process, and it does not perform any functions or processes that the TGA considers to constitute a medical device.
Platform Limitations: You acknowledge:
(a) Audri does not diagnose conditions or recommend treatment to you;
(b) Audri does not replace your Practitioner's professional judgement; and
(c) the information you provide is collected to support your Practitioner in delivering care to you.
Intellectual property and confidentiality
Ownership: We own or licence all rights, title, and interest (including copyright, designs, patents, and trademarks) in the Platform, its underlying software, source code, AI models, and all material made available through it, such as text, graphics, and logos (collectively, Audri Content).
Restrictions: Except as permitted by law, you must not copy, modify, disassemble, decompile, or otherwise reverse engineer any part of the Platform, create derivative works of any Audri Content, or build a competitive product or service based on the Platform or permit any third party to do so. You must not directly or indirectly do anything that would or might invalidate or put in dispute our title in the Platform.
Feedback: If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, and royalty-free licence to use that feedback to improve the Platform or for our business purposes without restriction or compensation to you.
Confidential Information: Each party must keep confidential all non-public information, proprietary features, pricing, or software logic of the other party accessed as a result of these Terms (Confidential Information). You must employ all reasonable steps to protect Confidential Information from unauthorised disclosure. Disclosure is only permitted to personnel with a need to know or where required by law.
Privacy and data obligations
Privacy Policy: Audri handles personal information in accordance with its Privacy Policy. By providing your personal information to us, you consent to its collection, use, storage, and disclosure as described in these Terms and our Privacy Policy.
Sharing with Your Practitioner: Information you provide through the Intake Interview is shared with your nominated Practitioner and may form part of your clinical record held by them. Your Practitioner is responsible for managing your care and medical records.
Accuracy: Your Practitioner may rely on your information to provide care. Providing false or misleading information may compromise their service to you.
Adverse Incident Reporting: If you become aware of any issue with the Platform that may affect patient safety, please notify Audri as soon as possible.
Third party resources
- External Links: The Platform may link to or integrate to third-party services. Audri is not responsible for third-party content, functionality or privacy practices and your use of third-party services is at your own risk.
Liability and indemnity
Disclaimer: The Platform utilises probabilistic AI models and is provided "as is". We do not warrant that it will be error-free, 100% accurate or will meet your specific requirements. We do not warrant or guarantee that the Platform or any of the services provided on the Platform are free from defects, viruses or other harmful components, or that your access to the Platform will be uninterrupted.
Consumer Law: Nothing in these Terms excludes any consumer guarantee under the Competition and Consumer Act 2010 (Cth) (Australian Consumer Law) that cannot be excluded by law.
Practitioner Relationship: Audri is not a party to the professional relationship between you and your Practitioner. Audri does not control, supervise or influence clinical decisions made by your Practitioner and is not responsible for their acts, or omissions.
Indemnity: You indemnify Audri against any loss or claim arising from your breach of these Terms or your provision of false information.
Suspension and termination
- Suspension: We may restrict, suspend or terminate your access to the Platform where reasonably necessary for legal, regulatory or safety reasons, or where these Terms are misused.
General
Jurisdiction: These Terms are governed by the laws of Victoria, Australia.
Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Platform and supersede any previous agreements.
Severability: If any provision of these Terms is invalid, it is to be read down or severed without affecting the remaining provisions.
Force Majeure: We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control.
Assignment and Novation: You may not assign or transfer any rights under these Terms to any other person without our prior written consent.
Notices: Any notice given under these Terms by either party to the other must be in writing by email and will be deemed to have been given on transmission.
Communication: When you register an account, you consent to receive Platform and service-related communications. You may opt out of non-essential communications by emailing us at the address below.
